As a Distributor, I will work in harmony with all Company Distributors to help further the success of the Company. I will conduct my business in a profession manner.'Independent Distributors are required to pay an annual membership tee and sign a new agreement form. Should a Distributor elect not to continue his/her Distributor membership, all rights to bonuses, marketing position, and wholesale purchases cease the terminated Distributor's sales organization shall be transferred to his/her Sponsor. The annual membership fee will be determined annually; Master Visions New will distribute forms including any amendments annually. 'Either party may terminate this agreement by written notice at any time, at which time no further commissions or bonuses will be paid by the company. 'In the event a distributor wants to sell his Distributorship. The Distributorship must be offered simultaneously, in writing, first to The Distributor's Sponsor and his Upline Sponsors, which must include an Executive, with written response required within ten (10) working days from anyone to whom the offer is made If parties decline the offer, the Distributor may offer the Distributorship for sale to other qualified Distributors or interested parties, but only on the same terms and conditions as offered to the Upline Sponsors. The Company reserves the right to review the sale agreement and to verify the waiver from the Upline Sponsors. The Company reserves the right to stipulate additional terms and conditions prior to approving any proposed sale by a Distributor of his/her organization. Company approval of a proposed sale must be in writing. 'Distributors are independent contractors and are not employees or agents of the Company or their Sponsors. Distributors must not imply or represent employment or agency relationships in any manner, including verbal representations, printed material, or by deceptive actions. Distributors are responsible for any expenses, which result from their business operations, including, but not limited to: advertising, legal costs, and telephone expenses. The Company is not responsible for any expenses relating to a Distributor's business. 'Distributors are responsible for all taxes on income received from the Company, on sales made by them, and for any other fees, including Social Security and unemployment taxes. Form 1099 will be mailed to all Independent Distributors who have received $600. 'If the Independent Distributor has purchased products from the Company for inventory purposes while the Distributor Agreement was in effect, all unencumbered products in resalable condition then in possession of the Independent Distributor, which have been purchased from the Company within thirty (30) days of cancellation, shall be repurchased. The repurchase shall be at a price of not less than eighty percent (80%) of the original net cost of the product returned. Income paid to Distributors on sales for which the Company has given a refund will. at the Company's option, be charged back to those Distributors. 'All returns must be approved by the Master Visions Corporate Office in advance and a Return Authorization Form completed and number issued. Products and sales aids must be delivered to the Company's Corporate Office within seven (7) days of the return being approved. 'Master Visions Independent Distributors must deal courteously and quickly with all refund requests. Retail customers are ensured a one hundred percent (100%) MONEY BACK GUARANTEE from Master Visions Distributors for any product purchased within the previous thirty (30) days. The customer must sign a receipt indicating he/she has received a refund, and the Distributor must supply a copy of the signed receipt to Master Visions along with any returned product and\or bottle. Any Distributor who fails to honor the Money Back Guarantee will be subject to be terminated. The selling Distributor is responsible to make such a refund. 'Distributors must not reproduce, promote, or use any copyrighted or otherwise protected materials describing or containing the Company's names. Programs, products, or trademarks except those obtained from the Company. 'Distributors must not engage in any unlawful practices. 'AII orders are credited to the Distributor on the day and in the calendar month in which they are received at the Master Visions Corporate Headquarters. Distributors should allow adequate time for mail transit. If time is of the essence, guaranteed overnight express service is recommended. 'Payment must accompany all orders. Payment must be made by certified check, money order, or credit card charge. Personal checks are not accepted. No orders will be shipped without prior payment. Master Visions will not ship orders on a C.0.D. basis. 'Shipping and handling is UPS only, charges are as follows: 'There is a minimum S & H fee of $5.00 on ALL orders. 'There is also an additional $3.50 service charge for all pick up orders. All shipments must be sent to a street address rather than to a P.O. Box. Product orders may be drop-shipped to multiple addresses by attaching a separate sheet, which clearly identifies the name and address of each location. A $5 service fee must be included, in addition to any standard shipping and handling charges for each address after the first. All orders must total at least $25. 'Distributor use of the name Master Visions is restricted to protect the Company's proprietary rights, ensuring that Company protected names will not be lost or compromised by unauthorized use. 'Company's Name Use on Buildings and Vehicles and in phone directory, Letter heads, etc., must always carry the phrase 'Master Visions Independent Distributor"' immediately following the Distributor's name. The company must approve all advertising in writing. 'Should any portion this Distributor Application and Agreement, or of any other instruments referred to herein or issued by the Company be declared invalid by a court of competent jurisdiction, the balance of such rules. Applications or instruments shall remain in full force and effect.' The Company shall be entitled to change product and sales aid prices at any time and without notice. 'The Company expressly reserves the right to alter or amend product availability and/or formulation, and Compensation Plan, such amendments are automatically incorporated as part of the agreement between the Company and the Distributor. 'All Distributors have the right to sponsor others anywhere within the United States. BONUSES - 'Minimum Requirement for Bonuses: All Distributors must have a minimum of $100 PV (Personal Volume) each month in order to be eligible to receive any Bonuses. Bonuses are paid by the 20th of the month following the month in which bonuses were earned. BV usually equates to 3/4 of the wholesale price of the product. Sales aids are not included in BV. STEP 1: Everyone joins the Master Visions Plan by completing and submitting an Application and Agreement Form. This completed form and payment of membership fee is then forwarded to the Master Visions Corporate Office. When accepted by the Company. They will receive a New Distributor Sales Kit. Even though the application for a Wholesale Buyer and Distributor is the same, starting as a SELLING DISTRIBUTOR, the applicant is intending to sell retail to the public in addition to consuming the products personally and purchasing, at time of application a minimum of (3) three bottles of Master Visions products. This Application and Agreement Form provides the vital link between the new Distributors, the Company, and the entire network of Master Visions Distributors. This link ensures that each Distributor in the plan will receive corporate communications and compensation. The new Wholesale Buyer or Distributor is now properly enrolled in the plan and will order product at the wholesale price for retail sale and/or personal consumption from his/her Sponsor. Advancement of a Wholesale Buyer to Distributor level requires an attainment of $135 BV in a single month. A Distributor's Advancement to Supervisor requires an attainment of $200 PGV (Personal Group Volume) in any two consecutive calendar months. There is no time limit placed upon new Distributors in completing this step. This step will authorize the Supervisor to order future product from the Company and receive a 10% rebate on the Distributor's PV (Personal Volume). (1.) The achievement to any position in the Compensation Plan is effective immediately the first of the month following the achievement of this BV requirement. The advancement to all positions in the Compensation plan is permanent and no requalification is required, except that $100 PV must be ordered within the calendar year, or you will be dropped from the Distributor role. (2.) AII bonuses are paid by the 20th of the month following the month in which they were earned. (3.) All Distributors must order at least $100 PV and attend at least one Master Vision's business meeting each month to qualify to receive the rebate and commissions for that month. Otherwise, the rebate and commissions due that Distributor will be paid upline to the first qualified Distributor. (4.) PGV (Persona Group Volume) by any downline Distributor satisfies the BV (Business Volume) advancement requirement for an upline Distributor position in the plan to move up. STEP 2: Supervisors order product for retail sale and/or personal consumption from the Company and will earn a 10% rebate on the BV of any such product order. Cumulative PGV of $1000 in any two calendar months is required as a Supervisor to advance to the level of Manager in the Compensation Plan. The BV requirement may be satisfied by the Supervisors downline. In that event, any such BV is GV (Group Volume) and earns the Supervisor PGV credit but may not earn the Supervisor a rebate. STEP 3: Managers order product for retail sale and/or personal consumption from the Company and will earn a 15% rebate on the BV of any such product order. Cumulative PGV of $5000 in any two calendar months is required as a Manager to advance to the level of Executive in the Compensation Plan. The BV requirement may be satisfied by the Managers downline. In that event, any such BV is GV and earns the Manager GV credit but may not earn the Manager a rebate. The Manager earns a 5% commission on the personally sponsored Supervisor's PGV.STEP4: Executives order product for retail sale and/or personal consumption from the Company and will earn a 25% rebate on any such product order. The Executive earns a 15% commission on all personally sponsored Supervisor's PGV and a 10% commission on all personally sponsored Manager's PGV. Executives must maintain consistency in ordering ($100 PV minimum). Executive Development & Bonuses: Level #1 in the Executive Development status of leadership is achieved when the Active Executive qualifies one (1) first-generation Executive. The EDB for the newly qualified Executive's entire breakaway group earned by the Level #1 Executive is 10% of the PGV of the (EBA) Executive breaking away Level #2 in the Executive Development status of leadership is achieved when the Active Executive qualifies two (2) first-generation Executives. The EDB for Level #2 Executives is 4% on each second-generation Executive's PGV of the EBA. Level #3 in the Executive Development status of leadership is achieved when the Active Executive qualifies three (3) first-generation Executives. The EDB for Level #3 Executives is 3% on each third-generation Executives. Executive's PGV of the EBA. Level #4 in the Executive Development status of leadership is achieved when the Active Executive qualifies four (4) first-generation Executives. The EDB for Level #4 Executives is 2% on each Executive's PGV of the EBA. Level #5 in the Executive Development status of leadership is achieved when the Active Executive qualifies five (5) first-generation Executives. The EDB for Level #5 Executives is 2% on each Executive's PGV of the EBA. Level #6 in the Executive Development status of leadership is when the Active Executive qualifies six (6) first-generation Executives. The EDB for Level #6 Executive is 2% on each sixth generation Executive's PGV of the EBA. Level #7 in the Executive Development status of leadership is when the Active Executive qualifies seven (7) first-generations Executives. The EDB for Level #7 Executive is 2% on each seventh generation Executive's PGV of the EBA.
TO RECEIVE BREAKAWAY BONUSES: (1.) Be an Active Executive, minimum $100 PV per month. (2.) The generations are all assumed to be in the direct line of sponsorship for each Breakaway in all Executive Development positions. (3.) The BV required by an Executive for the payment of the (EDB) Executive Development Bonus is $100 PV. (4.) An Executive may qualify in a higher position than his/her/their Sponsor. (5.) A first-generation Executive can only be promoted from a first level Distributor position. Personally Sponsored Executives must remain active (order Minimum of $100 PV each calendar month) in order to count as one of the Executives to qualify you for the EDB.
