1. The Distributor agrees that he or she is an INDEPENDENT CONTRACTOR and not an agent, employee, and in no way a legal representative of Master Visions, and he or she agrees that he or she is responsible to pay all taxes including self-employment and to acquire any and all business licenses required by federal, state and local statutes.
2. The Distributor agrees to conduct his or her business in a professional manner and abide by directives that may be mailed out from time to time. These directives may change periodically.
3. I, the Distributor, hereby supply Master Visions with my signature for its files. This signature will allow me to place telephone orders and to charge these orders to my VISA or Master card or other charge card accounts. This is Master Visions authorization to accept and honor my Visa and Master card and/or any other credit cards charged orders. As an independent Distributor of Master Visions, I am aware of the quality of products, cost and other contractual obligations contained within my signed Distributor Application and Agreement Form.
I also understand, because I am a better informed than the average person, and a Distributor, I waive my right of cancellation or refund of any order placed on my credit card accounts. I agree that any refunds or returns I may have shell be handled through Master Visions and not through my credit card company.
4. The Distributor understands that the name Master Visions and any other name that is adopted by Master Visions to identify the company or its products are trade names and are not to be used in advertising without the written consent of the company.
5. All orders and applications will be credited to the calendar month in which they are received by Master Visions. All monies remitted to Master Visions can be either money orders. cashiers checks, or credit cards.
6. The terms of this agreement are extended each year by the payment of a renewal fee, which may be added to your next order, if the fee has not been paid upon the renewal date of this agreement, one year from the date of signing this agreement or by the company. However either party may terminate it at any time by submitting written notice to the other party.
7. I understand that I may sell my Distributorship only with the prior written consent and approval of Master Visions.
8. This agreement shall be governed by the laws of Louisiana and any proceedings, shall have sole and executive jurisdiction in Caddo Parish, Louisiana. Applicant hereby submits to personal jurisdiction of the First Judicial District Court of Louisiana and of' the United States District Court for the western District of Louisiana.
